Chapter 4 - The Boardroom Siege

Three days later, the headquarters of Vance Development Group on Fifth Avenue was in a state of utter pandemonium.
Rumors had been swirling through the financial sector like wildfire. The stock price of Vance Development had dropped forty percent in seventy-two hours following news of the hotel structural failure. Creditors were calling every five minutes, demand letters were flooding the mailroom, and half the executive staff had already cleared out their desks.
Inside the grand corner boardroom on the forty-fifth floor, six remaining board members sat around an oval mahogany table, shouting at each other in a state of high anxiety.
Daniel sat at the head of the table, his eye sockets hollow and dark, wearing the same suit he had worn for two days. Vanessa stood behind his chair, her bandaged ankle propped up on a spare leather stool, her face devoid of makeup, frantically typing on a tablet.
"We need to issue a press release blaming the earthquake!" Daniel barked, slamming his fist onto the table. "An Act of God! That’s our legal defense! The seismic activity exceeded the structural design limits!"
"The structural design limits were three times lower than city code, Daniel!" shouted Marcus Vance, Daniel’s uncle and a minority shareholder. "The city building inspector just issued an arrest warrant for the contractor! He’s singing like a canary to the District Attorney! He claims you paid him fifty grand in cash to use sub-standard steel girders in Sector B!"
"He's lying!" Daniel yelled, his voice cracking with desperation. "I have the final approval documents right here!"
Suddenly, the heavy double doors of the boardroom were pushed open with a sharp, echoing crack.
Every head in the room snapped around.
I walked into the boardroom. I didn't use my cane today. My stride was steady, my posture regal, clad in a stunning white double-breasted power suit that commanded the room the second I crossed the threshold.
Behind me walked my father, Grant Whitmore, followed by Arthur Pendelton and three representatives from the Securities and Exchange Commission holding official federal summonses.
"What is she doing here?!" Vanessa gasped, clutching her tablet like a shield. "Security! Call security!"
"Security has been relieved of their duties, Miss Miller," Arthur Pendelton said smoothly, stepping forward to drop a stack of legal notices in front of every board member. "As of 8:00 AM this morning, Whitmore Global Holdings executed its right of foreclosure on fifty-one percent of the voting shares of Vance Development Group, pursuant to the default provisions of the primary debt covenant."
Silence fell over the room like a heavy woolen blanket.
Daniel stood up so fast his leather chair slid backward into the glass window. "You can't do that! That debt wasn't due until the end of the fiscal year!"
"It was due immediately upon any event causing catastrophic reputation damage or criminal exposure to the parent guarantor," Arthur replied coolly. "Read Section 9, Clause C. You signed it yourself three years ago when you begged Grant Whitmore’s dummy corporation for emergency capital."
I walked slowly down the length of the long table, my eyes sweeping over the pale faces of the board members who had for years sat in this very room and laughed while Daniel mocked my intellect.
I stopped at the head of the table, looking directly down at Daniel.
"Vacate my chair, Daniel," I said quietly.
"Your chair?" Daniel scoffed hysterically. "This is my company! My name is on the building!"
"Not anymore," I replied smoothly. "By vote of the majority shareholder—which is now Whitmore Global—you are officially removed as Chief Executive Officer, Chairman of the Board, and Director of Vance Development Group, effective immediately."
"You can't fire me!" he screamed, his eyes bloodshot. "I built this!"
"You built a house of cards out of cheap concrete and stolen ideas," I retorted, my voice cutting through his panic like a scalpel. "And today, it blew away."
I turned to the board members. "Gentlemen, you have two choices. You can sit in these chairs and be named as co-defendants in the federal fraud indictment that will be unsealed at noon... or you can vote right now to turn over all internal communications, financial ledgers, and personal correspondence regarding the hotel annex to the SEC, and accept my father’s buyout offer of ten cents on the dollar."
The board members didn't even hesitate.
"I vote yes," Marcus Vance said immediately, raising his hand.
"Yes," cried another board member.
"Motion passed unanimously," Arthur declared, marking his tablet.
Daniel stood frozen, his mouth open, looking around the room as his own family members and business partners abandoned him in less than thirty seconds.
Vanessa let out a small whimpering cry, dropping her tablet onto the floor, realizing that the empire she had compromised her morality to cling to had just turned to ash.
I looked at the SEC officers standing near the door.
"He's all yours, gentlemen," I said softly.
Two federal agents stepped forward, pulling out a pair of steel handcuffs. "Daniel Vance, you are under arrest for federal securities fraud, corporate embezzlement, and reckless endangerment."
As the steel cuffs clicked shut around Daniel’s wrists, he looked at me with a mixture of terror, hatred, and profound regret.

"Elena..." he whispered, his voice trembling as they began leading him away. "Please... don't do this..."
I didn't answer. I simply pulled out the plush leather chair at the head of the table, sat down, and opened my laptop to begin restructuring the company.
