Chapter 6 - The Shadow Board

By Thursday evening, twenty-four hours before the decisive board meeting, the command center inside my private home office looked like a military intelligence room.
Three encrypted monitors displayed live financial flows, corporate proxy voting tallies, and wiretap transcripts. Marcus sat beside two top forensic accountants and Arthur Pendelton, my chief legal counsel—a veteran corporate attorney who had represented Mercer Ridge since its inception.
"Arthur," Pendelton said, placing a thick stack of legal documents on my desk. "The proxy voting setup Richard Vance created for tomorrow is a masterpiece of corporate treason."
My speech-to-text software displayed Pendelton's words instantly on my desktop monitor.
"Explain," I said.
"Richard has quietly spent the last three months convincing our institutional shareholders—the major pension funds and private equity firms holding forty percent of Mercer Ridge stock—that your health is rapidly deteriorating," Pendelton explained. "He leaked false medical records provided by Dr. Sterling claiming you have early-onset vascular dementia paired with progressive deafness."
"So the board believes I am mentally unfit," I nodded slowly.
"Precisely," Pendelton continued. "Under Section 8 of Mercer Ridge’s corporate charter, if the CEO is deemed medically incapacitated by a licensed neurologist—which Sterling’s forged report provides—and forty percent of shareholders vote in favor, temporary voting control automatically defaults to the Vice Chairman."
"Richard," I murmured.
"Yes. But it gets worse," Marcus interjected, pulling up a secondary spreadsheet on the wall monitor. "Once Richard assumes temporary control tomorrow at 10:00 AM, his first executive action is scheduled for 11:00 AM: a complete buyout of Hale Global Logistics for two point two billion dollars."
I leaned forward, studying the numbers. "Hale Global Logistics is Vanessa’s father's company."
"And it's completely bankrupt," Marcus revealed, tapping the screen. "Hale Global holds over eight hundred million dollars in hidden toxic debt from illegal shipping operations in East Asia. By buying Hale Global using Mercer Ridge’s cash reserves, Richard and Vanessa are effectively laundering eight hundred million dollars to pay off her father's debts, while skimming a three-hundred-million-dollar 'consulting fee' into their offshore Cayman account."
"They aren't just taking my company," I said, a cold laugh escaping my throat. "They are gutting Mercer Ridge from the inside out, bankrupting my shareholders, and leaving me as the dead fall guy."
"What is your command for tomorrow, Arthur?" Pendelton asked, his eyes filled with intense professional fury. "We have enough evidence right now to file an emergency federal injunction and freeze the board meeting."
"No," I answered immediately, standing up from my desk. "An injunction gives them time to pivot, hide offshore assets, and spin the media narrative. I don't want a legal delay, Pendelton. I want a public execution."
I walked over to the glass wall overlooking the dark grounds of the estate.
"Tomorrow morning at 10:00 AM, the board meeting will take place at our corporate headquarters in downtown Chicago as scheduled," I declared, my voice echoing with absolute authority. "Let Richard present his forged medical reports. Let Vanessa sit in the gallery wearing her grieving fiancée mask. Let the treasonous board members prepare their votes."

"I will walk into that boardroom at 10:30 AM," I said, turning to face them. "And I won't be alone. I will have Dr. Sterling's videotaped confession, the forensic toxicology reports, federal marshals, and a four-year-old girl named Lily who will show the world what true courage looks like."
