Chapter 3 - The Board's Betrayal

By noon, news of the audit had leaked to Marlowe Technologies' primary investors.

The board of directors called an emergency meeting in the main conference room. Ethan sat at the head of the long mahogany table, his tie loosened, his forehead slick with sweat. Vanessa was sitting in the corner of the room, scrolling frantically through her social media feeds, which were already filling with rumors of her arrest the previous night.

Across the table sat Marcus Thorne, the lead investor from Apex Capital, who held thirty percent of the company’s preferred stock.

"Explain this, Ethan," Thorne said, throwing a copy of the court injunction onto the table. "The core logistics platform is throwing errors. Client onboarding is frozen. And I just got a call from the Wall Street Journal asking why the CEO's wife had her sister arrested at the Halston Hotel for jewel theft."

"It’s a temporary domestic issue," Ethan insisted, slamming his palm on the table. "Claire is using a technical loop in an old licensing agreement to squeeze me for a higher divorce settlement. My legal team is filing an emergency motion to lift the injunction right now."

"Your legal team is getting outmaneuvered by Vance & Sterling," Thorne snapped. "Do you know who Julian Vance is? He’s the chairman of the International Arbitration Court in Zurich. He doesn't file motions unless he already owns the judge, the courtroom, and the land under the building."

The door opened, and Claire walked into the conference room. She was accompanied by Arthur Vance and two forensic accountants carrying leather cases.

Ethan jumped up. "This is a private board meeting!"

"I hold fifteen percent of the founder's common stock, Ethan," Claire said calmly, taking a seat at the far end of the table, opposite Thorne. "And as of twenty minutes ago, I represent the St. Claire Trust, which holds fifty-one percent of the voting rights regarding the core IP."

Thorne leaned forward, his sharp eyes examining Claire. "Mrs. Marlowe. I was told you were no longer involved in the operational side of the company."

"I was told my husband was loyal," Claire replied mildly. "We were both misinformed."

Thorne chuckled dryly. "Fair enough. What do you want?"

"I want Ethan removed as Chief Executive Officer," Claire said.

Ethan lost his grip completely. "You can't remove me! I am the face of Marlowe Technologies! The investors bought me!"

"They bought a twenty percent growth rate powered by an algorithm you cannot maintain," Claire countered, pulling a thick folder from her accountant's stack. "This morning’s audit revealed that Ethan has misallocated twelve million dollars over the last eighteen months. Three million went to unauthorized personal expenses, including property purchases for my sister. Nine million was diverted to an offshore entity in the Cayman Islands called 'Vanguard Holdings'."

Thorne’s head snapped toward Ethan. "Vanguard? Ethan, what is she talking about?"

Ethan’s mouth opened, but no sound came out.

"Vanguard Holdings is registered to Ethan’s college roommate," Claire explained to the board. "He was preparing to siphon our primary enterprise contracts into a secondary company before filing for divorce, effectively leaving Marlowe Technologies—and its shareholders—with the liabilities while he kept the profit."

The silence in the room became absolute.

Thorne looked at Ethan, his expression turning cold and lethal. "Is this true?"

"It... it was a hedge," Ethan stammered, his confidence evaporating into terror. "Marcus, listen to me, it was a structural play to protect us from—"

"You're done," Thorne interrupted softly. He looked down at his phone and tapped the screen twice. "As lead investor, Apex Capital exercises its right under Section 8 of the shareholder agreement to call an immediate vote of no confidence."

"I second the motion," said another board member at the side of the table.

"All in favor?" Thorne asked.

Every hand in the room went up. Except Ethan's.

"The motion passes," Thorne announced. "Ethan Marlowe is suspended from all executive duties, effective immediately. Security will escort him from the premises."

Ethan stood frozen at the head of the table, looking around at the men who had toasted his success forty-eight hours ago. None of them met his gaze. He looked at Vanessa, who was staring at him in horror, realizing that the billionaire CEO she had fought to steal was now just an unemployed man facing a corporate fraud investigation.

Finally, Ethan looked at Claire.

She met his gaze without malice, without triumph, and without pity.

"You took my necklace, Ethan," she said quietly as two heavy security guards stepped into the room to take his arm. "I took your company. I'd say we're even, but I haven't even started counting the interest."
